On October 1, 2026, 15 states and one sovereign sued in federal court in Indiana to challenge the separation of Corteva and Vylor. On October 9, 2026, the court issued a temporary restraining order limiting asset sales outside the ordinary course and barring dividends and share repurchases. The court stayed the order on October 10 pending an emergency appeal motion, and Corteva said it will not declare dividends or buy back shares while that motion is pending.
With the separation of Vylor effective October 1, 2026, and as previously disclosed in April 2026, Luke Kissam became Chief Executive Officer and a director, Jeff Rudolph Chief Financial Officer, Brook Cunningham Chief Commercial Officer and Ralph Ford Chief Integrated Operations Officer. Charles V. Magro, David P. Johnson, Samuel R. Eathington and Judd M. O'Connor resigned as officers. Mr. Magro and three other directors left the board, citing no disagreement.
On October 1, 2026, Corteva completed its previously announced separation of its seed operating segment into Vylor Inc., an independent publicly traded company, through a pro rata distribution of all outstanding Vylor common stock to Corteva holders of record as of the close of business on September 24, 2026. Vylor common stock was expected to begin regular-way trading on the NYSE under the symbol "VYLR" on October 1, 2026.
Corteva's board on September 12, 2026 approved the previously announced separation of Corteva into two independent public companies by spinning off its seed operating segment into Vylor Inc. The board declared a pro rata dividend of all Vylor common stock to stockholders of record as of September 24, 2026, with the distribution expected to complete before market open on October 1, 2026 - one Vylor share for each Corteva share. The spin-off is intended to be tax-free to Corteva stockholders for U.S. federal income tax purposes.
On September 9, 2026, Corteva and its subsidiary EIDP, Inc., together with DuPont and Chemours, entered into a Settlement Agreement with the State of North Carolina and local subdivisions resolving all PFAS and other emissions claims associated with the Fayetteville Works facility. The aggregate settlement is $455 million, payable over 15 years and shared among the parties under the 2021 binding MOU.
On August 31, 2026, Corteva disclosed that Vylor Inc., the wholly owned subsidiary that will hold its seed business in the planned separation into two public companies (announced October 1, 2025), issued $1.1 billion of senior notes in a private offering: $550 million due 2031 and $550 million due 2033. The financing advances the separation of Corteva's crop protection and seed businesses.
